Terms of Service

Effective date: October 14, 2026

These Terms of Service ("Terms") are an agreement between you and Cielo Hermosa, LLC, a Colorado limited liability company, 108 W 2nd Street, Delta, CO 81416 ("Cielo Hermosa", "we", "us"). They cover your use of the Cielo Hermosa farm software at app.cielohermosa.com, including the field phone app, the wholesale buyer portal and public traceability pages (the "Service"). If you sign up for a farm, you accept these Terms for that farm and confirm you're allowed to do so. Our Privacy Policy explains how we handle information.

1. Accounts

You must be at least 18 and use the Service for your business. Keep your password and your workers' PINs private, and tell us at hello@cielohermosa.com if you think someone has accessed your account without permission. You're responsible for what happens under your account and for the people you invite.

2. Free trial

New farms get a free trial for the length shown at sign-up. No card is needed to start. If you don't add a payment method before the trial ends, paid features stop until you do.

3. Subscriptions and billing

Payments are processed by Stripe, and Stripe's terms also apply. We never receive your full card number.
Prices are in US dollars and shown on the pricing page and at checkout. Sales tax is added where the law requires.
Renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly, as chosen at checkout) until you cancel.
Cancelling. You can cancel any time in your billing settings or by emailing hello@cielohermosa.com. You keep access until the end of the period you've paid for.
Price changes. We'll give you at least 30 days' notice by email before a price change applies to your subscription.
Failed payments. If a payment fails, Stripe will retry it. If it still can't be collected, we may pause paid features until it's paid.

4. Refunds

Payments are non-refundable except where the law requires otherwise. If you think you were charged by mistake, email hello@cielohermosa.com within 30 days and we'll look into it. Please contact us before opening a chargeback.

5. Your data

The records you and your team enter are yours. You give us permission to store and process them only to provide, secure and support the Service. You're responsible for having the right to enter information about your workers, customers and buyers, and for following the laws that apply to your farm, including email and text-message marketing rules and employment and payroll rules. While your account is open, you can export records where the Service offers it, or ask us for a copy. After you close your account we may delete your records, as described in the Privacy Policy.

6. Acceptable use

Please don't:

break the law or anyone else's rights, or send spam;
try to access other farms' data or parts of the Service you aren't authorised for;
interfere with the Service's security or operation, or probe it for vulnerabilities without our written permission;
copy, resell or reverse-engineer the Service.

We may suspend accounts that misuse the Service. Where we can, we'll tell you first.

7. Records and compliance tools

Tools such as Water Log, Hour Tracker and Route Trace help you keep records. They don't replace professional, legal or regulatory advice. Check that your records meet the rules that apply to your farm, such as water-rights, payroll or food-safety requirements.

8. Changes to the Service

We may improve, change or remove features. If we remove a main feature of a paid plan, we'll tell you in advance.

9. Third-party services

The Service relies on services we don't control, such as Stripe, our hosting and email providers, and any integrations you turn on. Their terms apply to your use of them.

10. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We don't promise the Service will always be available or error-free.

11. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, CIELO HERMOSA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. These limits don't apply where the law doesn't allow them, such as for fraud or intentional misconduct.

12. Indemnity

If your use of the Service or your data breaks the law or these Terms, and that leads to a claim against us, you agree to cover our reasonable costs of that claim, including reasonable lawyers' fees.

13. Ending

You can close your account at any time. We may end or suspend your access if you seriously or repeatedly break these Terms, or if we stop offering the Service, in which case we'll give you reasonable notice and time to export your records.

14. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. Before filing any claim, please email hello@cielohermosa.com, and we'll try in good faith to resolve it within 30 days. Any lawsuit must be brought in the state and federal courts for Delta County, Colorado (the Delta County courts, or the U.S. District Court for the District of Colorado), and both sides agree to those courts' jurisdiction.

15. Changes to these Terms

We may update these Terms. We'll change the effective date above and tell account owners about significant changes by email or in the Service. If you keep using the Service after a change takes effect, you accept the new Terms.

16. Other terms

If any part of these Terms can't be enforced, the rest still applies. If we don't enforce a term right away, we haven't waived it. You may not transfer these Terms without our consent. We may transfer them to a successor business. These Terms and the Privacy Policy are the whole agreement about the Service.
